3. Client Responsibilities

• Respond to requests for feedback and approvals in a timely manner
• Make payments according to agreed terms and schedules
• Respect intellectual property rights and licensing agreements

4. Payment Terms

Payment terms are specified in individual project agreements. Generally, we require a deposit before work begins, with remaining payments due according to project milestones. Late payments may incur additional fees and may result in project suspension.

5. Intellectual Property

Upon full payment, clients receive ownership of custom-developed code and content created specifically for their project. However, Adexcell retains rights to general methodologies, techniques, and any pre-existing intellectual property used in the development process.

6. Confidentiality

We respect the confidentiality of client information and will not disclose sensitive business information to third parties without explicit consent, except as required by law or as necessary to complete the agreed services.

7. Limitation of Liability

Adexcell's liability is limited to the amount paid for services. We are not liable for indirect, incidental, or consequential damages. Our services are provided "as is" without warranties of any kind, express or implied.

8. Project Timelines

Project timelines are estimates based on the information available at the time of agreement. Delays caused by client feedback, content provision, or scope changes may affect delivery dates. We will communicate any timeline changes promptly.

9. Termination

Either party may terminate the agreement with written notice. In case of termination, payment is due for all work completed up to the termination date. Clients will receive all completed deliverables upon full payment.

10. Governing Law

These terms are governed by the laws of Bangladesh. Any disputes will be resolved through arbitration or in the courts of Dhaka, Bangladesh.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on our website and take effect immediately. Continued use of our services constitutes acceptance of modified terms.
